Wayfair Preferred Partner Program Terms and Conditions (“Terms”)

BY CONFIRMING ACCEPTANCE VIA EMAIL OR CLICKING “ACCEPT” WHERE DIRECTED, SUPPLIER (A) ACKNOWLEDGES THAT IT HAS READ AND UNDERSTANDS THESE TERMS; (B) REPRESENTS AND WARRANTS THAT THE PERSON ACCEPTING HAS THE RIGHT, POWER, AND AUTHORITY TO ACCEPT THESE TERMS ON SUPPLIER’S BEHALF; AND (C) ACCEPTS THESE TERMS AND AGREES THAT SUPPLIER IS LEGALLY BOUND BY THEM.

Supplier agrees as follows: 

1.Distribution. Supplier shall not sell any new product (an “Exclusive Product”) Supplier causes to be offered for sale on a website owned or operated by Wayfair or its affiliate (the “Wayfair Site”) to, or offer an Exclusive Product for sale on a website owned or operated by, Amazon.com, Inc. (including, without limitation, Amazon.ca) for a period of ninety (90) days from the date such product is first offered for sale on a Wayfair Site (the “Exclusivity Period”). For the avoidance of doubt, Supplier shall not sell an Exclusive Product directly to consumers through Supplier’s controlled Amazon Marketplace during the Exclusivity Period.

2. Supplier Benefits. Wayfair will provide the following benefits to Supplier: 

a. Eligibility for a dedicated account management team and access to premium Wayfair events (e.g., WPP Webinars with senior management); 

b. Eligibility for selection in our premium shelf space and the corresponding exposure benefits that SKUs receive in our Specialty Retail and Flagship Brands (Wayfair Brand Program); 

c. Priority consideration for latest Wayfair pilot programs as they are introduced (e.g., operational programs, visual technology and merchandising services, product marketing services); 

d. 25% discount on Wayfair’s 3D Modeling Services; 

e. 10% discount on Media placements; 

f. 10% rebate on Wayfair Sponsored Products (Exclusive Products only); and 

g. Access to Consumer Insight Tool via Parter Home. Wayfair may add, remove, or modify any of the foregoing benefits at any time in Wayfair’s sole discretion. 

3. Wayfair Brand Program. Wayfair may designate Exclusive Products as Wayfair Brand Products during their Exclusivity Periods. “Wayfair Brand Products” are Exclusive Products selected by Wayfair to be marketed and sold under a Wayfair Flagship Brand, Specialty Retail Brand, or other Wayfair brand name. The following applies to Wayfair Brand Products: 

a. Supplier shall not sell a Wayfair Brand Product to, or offer a Wayfair Brand Product for sale on a website owned or operated by, Amazon.com, Inc. (including, without limitation, Amazon.ca) while such product is marketed or offered for sale under a Wayfair Brand. For the avoidance of doubt, Supplier shall not sell Wayfair Brand Products directly to consumers through Supplier’s controlled Amazon Marketplace. 

b. Wayfair may request a wholesale price change and Supplier will have a reasonable period to opt out of the requested price (7-14 days or otherwise specified). If Supplier does not respond within the specified time period, Supplier agrees to the requested price. Supplier will be notified of such requests via Partner Home or otherwise. 

c. Supplier shall not raise prices on Wayfair Brand Products while they are marketed or offered for sale under a Wayfair Brand without providing at least 180 days’ written notice to Wayfair. 

d. Supplier shall use its best efforts to brown-box Wayfair Brand Products, i.e. ensure there are no Supplier brand or manufacturing brand markings on the outside of the box or on the product itself. 

e. Wayfair Brand Products will receive free “Red Carpet Merchandising” (Wayfair supplied SKU imagery where needed, dedicated review capture programs, SEO-optimized copy and performance monitoring). 

f. Wayfair Brand Products will receive outsized exposure opportunities in storefront, promotions and marketing levers; and 

g. Supplier will have continuous access to an accounting of which products are currently exclusive to Wayfair. 

Wayfair will use good faith efforts to release products in Wayfair Brands that are underperforming, as determined by Wayfair in its sole discretion, after 6 months of being placed into a brand. Wayfair may request that an Exclusive Product be included in a Wayfair Brand after the product’s Exclusivity Period, and acceptance will be in Supplier’s discretion. For the avoidance of doubt, Wayfair retains all right and title in and to its intellectual property, including, without limitation, Wayfair Flagship Brands, Specialty Retail Brands, and other Wayfair brand names. 

4. Termination. Wayfair may terminate Supplier’s participation in the Wayfair Preferred Partner program at any time in Wayfair’s sole discretion. Supplier may terminate these Terms by providing Wayfair with at least six (6) months’ written notice. 

5. Confidentiality. All non-public or proprietary information disclosed by Wayfair to Supplier in connection with these Terms and Wayfair Preferred Partner program, including, without limitation, information made available through Wayfair’s consumer insights tool, is Confidential Information under the Supplier Agreement between Wayfair and Supplier. 

6. Notices. Any notice or other communication required or permitted to be provided under these Terms shall be sent to Supplier at Supplier’s address or email address on file with Wayfair or to Wayfair at 4 Copley Place, Boston, MA 02116 or legal@wayfair.com. Email constitutes written notice tinder these Terms. 

7. Publicity. Supplier shall not issue any press release or make any public statement regarding these Terms or the Wayfair Preferred Partner program without Wayfair’s prior written approval. Supplier shall not use Wayfair’s branding or trademarks without Wayfair’s prior written approval, which may be withheld by Wayfair in its sole discretion. 

8. LIMITATION OF LIABILITY. IN NO EVENT WILL WAYFAIR HAVE ANY LIABILITY TO SUPPLIER FOR ANY LOST PROFITS OR REVENUE OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, HOWEVER CAUSED, WHETHER IN CONTRACT, TORT, OR UNDER ANY OTHER THEORY OF LIABILITY, REGARDLESS OF WHETHER WAYFAIR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL WAYFAIR’S AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS EXCEED ONE THOUSAND U.S. DOLLARS ($1,000). THE FOREGOING LIMITATIONS SHALL NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW. 

9. General. These Terms are governed by the laws of the Commonwealth of Massachusetts without regard to its choice of law provisions. The courts sitting in Suffolk County, Massachusetts shall have exclusive jurisdiction over any controversy relating to or arising out of these Terms. Each Party irrevocably waives any objections to the jurisdiction of and venue in such courts. Wayfair and Supplier are independent contractors. Nothing in these Terms shall be deemed to create a principal-agent, employer-employee, joint venture, or partnership relationship between tWayfair and Supplier. These Terms may not be assigned by Supplier without Wayfair’s prior written consent. The failure by either Party to insist upon strict performance of any provision of these Terms will not be construed as a waiver or relinquishment of the right to insist upon strict performance of the same or any other provision of these Terms at any other time. No waiver, amendment, or modification of any provision of these Terms will be valid unless it is in writing and executed by a duly authorized representative of each party. If any provision of these Terms is found to be unenforceable for any reason, the remaining provisions will not be affected and shall continue in full force and effect in accordance with their terms. Sections 5 through 9 shall survive termination or expiration of these Terms. These Terms are the entire agreement and understanding between the Parties, and supersede all prior agreements, proposals, representations, and commitments, verbal or written, with respect to their subject matter
